USER GENERATED CONTENT & SUBMISSIONS

All personally identifiable information, content, comments, photos, videos, designs, audio, ideas, graphics, or other information that you send to us or otherwise make available through this Website or the services (together, the “Submissions”), is and remains your property. By sending, submitting, commenting, reviewing, uploading, posting or otherwise making available any Submissions, you represent and warrant that you have rights as owner of the Submissions to grant and do hereby grant to Music Spirits a non-exclusive, worldwide, perpetual, royalty-free, irrevocable, fully-paid, sublicensable, right and license to use, reproduce, modify, publish, distribute, publicly perform, display, store, transmit and create derivative works from the Submissions in any media, and for any and all commercial and non-commercial purposes of Music Spirits. You acknowledge that you are responsible for all Submissions that you submit, and you, not Music Spirits, have full responsibility for the Submissions, including their legality, reliability, appropriateness, originality, and copyright of any such materials.

 

You grant Music Spirts the right to use the name you submit in connection with your Submissions. Additional information related to Music Spirit’s practices relating to the use and protection of any personally identifiable information provided to Music Spiritsthrough the Website are detailed in Music Spirit’s Privacy Policy. Submissions posted or shared to the Website or with Music Spiritswill be deemed NOT CONFIDENTIAL. By posting, submitting or otherwise sharing a Submission, you represent and warrant that you own or otherwise control all of the rights to your Submission as described in these Terms of Use including, without limitation, all the rights necessary for you to provide, post, upload, input or submit your Submissions. 

 

In addition to the representation and warranty set forth above, by posting, submitting or otherwise sharing Submissions, you representand warrant: (a) that you are the copyright owner of your Submission or you have all necessary rights, consents and permissions from the copyright owner to use the content you share in your Submissions; (b) that you have the rights necessary to grant the license to Music Spirits described in these Terms of Use; (c) that any publicity or moral rights in your Submissions have been waived; (d) that you have the written consent, release, and/or permission of each and every identifiable individual person in the Submissions to use the name or likeness of each and every such identifiable person to enable inclusion and use of the content in the manner contemplated by the Website and these Terms of Use; (e) that the content contained in your Submissions is non-infringing; (f) that use of your Submissions or content therein does not violate our Terms of Use; and (g) that you will indemnify and defend Music Spirits for all claims that directly or indirectly arise from your Submissions. 

 

You acknowledge that Music Spirits is not responsible for the accuracy of any Submissions. All Submissions, whether publicly posted or privately transmitted, are the sole responsibility of the persons from whom such Submissions originated. Music Spiritsdoes not endorse any content or any opinion, recommendation, or advice you express in your Submissions, and Music Spiritsexpressly disclaims any and all liability in connection with anySubmissions you submit. Music Spirits reserves the right to deny the publishing of any Submission, to remove or reinstate any Submissions, and to terminate your ability to upload Submissions, in Music Spirits sole discretion at any time without prior notice to you.
